5.3 Client Obligations for Export

  • Legal Authorization: Possess valid export licenses and business registrations as per FTP requirements
  • FTP Compliance: Ensure all export activities comply with Foreign Trade Policy of India
  • Restricted List Verification: Confirm products and destinations are not on restrictive/prohibited lists
  • Product Compliance: Ensure exported goods meet all FTP and regulatory requirements
  • Accurate Information: Provide correct product specifications and documentation as per legal guidelines
  • Legal Procedures: Follow all mandatory legal procedures and obtain required approvals
  • Payment of Duties: Responsible for applicable export duties, taxes, and fees as per FTP provisions

6. Payment Terms and Billing

6.1 Service Fees

  • Procurement Services: Fees based on project scope, complexity, and duration
  • Export Services: Charges based on shipment value, documentation, and logistics
  • Platform Access: Subscription fees for enterprise dashboard and tools
  • Additional Services: Separate charges for web development and AI integration

6.2 Payment Terms

  • Invoice Terms: Payment due as per agreed terms (typically 15-30 days)
  • Advance Payments: Some services may require advance payment

  • Services are considered "initiated" when:

7.2 No Cancellation Policy

  • No Cancellation: Orders and service engagements cannot be cancelled once work has been initiated
  • Milestone Payments: All milestone payments remain due regardless of project status
  • Completed Work: Completed work phases are non-refundable even if subsequent phases are discontinued

8. Intellectual Property and Confidentiality

10.2 Termination by Client

  • Written Notice: Client may terminate with written notice subject to payment of completed work
  • No Refunds: Termination does not entitle client to refunds for completed services
  • Ongoing Obligations: Payment obligations for initiated services continue post-termination
  • Service Cessation: All ongoing services stop upon termination

11. Export Control and Compliance

11.1 Regulatory Compliance

  • Indian Export Laws: Full compliance with Indian export control regulations
  • International Trade: Adherence to international trade agreements and restrictions
  • Sanctions Compliance: No business with sanctioned countries or entities
  • License Requirements: All necessary export licenses and permits obtained

11.2 Client Compliance Obligations

  • Legal Business: Client must operate legitimate, legally compliant business
  • Export Eligibility: Client must be eligible to export from India
  • Accurate Declarations: All export declarations must be accurate and complete
  • Regulatory Updates: Client responsible for staying updated on export regulations

12. Export Control and Compliance

12.1 Foreign Trade Policy (FTP) Adherence

  • FTP Compliance: We strictly adhere to the Foreign Trade Policy (FTP) of India as issued by the Directorate General of Foreign Trade (DGFT)
  • Policy Updates: Full compliance with all FTP amendments, notifications, and updates
  • Export Procedures: All export operations conducted in accordance with FTP guidelines and procedures
  • Documentation Standards: Export documentation prepared as per FTP requirements and formats

12.2 Restricted Countries and Products Policy

  • No Restrictive List Dealings: We do not engage in trade with countries listed in India's restrictive/prohibited lists
  • Sanctioned Entities: No business transactions with entities under sanctions by Government of India or international bodies
  • Prohibited Products: We do not deal with any products listed in prohibited or restricted categories under FTP

  • Legal Business Operations: Client must operate legitimate, legally compliant business entities
  • Export Eligibility Verification: Client must be eligible to export from India as per FTP provisions
  • Accurate Documentation: All export declarations and documentation must be accurate and complete
  • Regulatory Awareness: Client responsible for staying updated on FTP changes and export regulations
  • Restricted List Confirmation: Client must confirm their products/destinations are not in restrictive lists
  • Legal Procedures Adherence: Client must follow all legal procedures and obtain necessary approvals

13. Dispute Resolution

13.1 Negotiation and Mediation

  • Direct Negotiation: Initial disputes resolved through direct business discussion
  • Mediation: Unresolved disputes subject to mediation before litigation
  • Good Faith Efforts: Both parties commit to good faith dispute resolution
  • Timely Resolution: Disputes addressed promptly to minimize business disruption

13.2 Jurisdiction and Governing Law

  • Indian Law: These Terms governed by laws of India
  • Karnataka High Court: Exclusive jurisdiction of Karnataka High Court, Bangalore
